These terms govern the ALVIREQ subscription between Halvic Labs GmbH ("HALVIC") and its customers ("the customer"). Consulting and development engagements are governed by halvic.ch's terms.
1. Service
HALVIC runs an ALVIREQ instance of the customer's own, at its own address and hosted in Switzerland, and provides it to the people the customer sets up. Scope, models and booked extras are set out in the order.
2. Plans and prices
- The price is per person and month and includes model use up to the plan's allowance.
- Use beyond the allowance is charged as used, at the prices in the order.
- Upgrades (own model key, dedicated GPU) and extras per instance (for example plugins) cost the amount stated in the order.
- All prices are in Swiss francs, plus VAT where applicable.
3. Invoices and payment
HALVIC invoices the monthly fees in advance and extra use after the month, by QR-bill or card payment. Invoices are payable within 14 days net. If payment is late, HALVIC may suspend the instance after a reminder; the data is kept.
4. The customer's duties
The customer manages its user accounts and makes sure its people use ALVIREQ lawfully and under the acceptable use policy. It makes sure it may process the data it processes in ALVIREQ and obtains any consent needed. Credentials must be kept secret.
5. AI output
ALVIREQ produces results with AI models. They can be incomplete or wrong. The customer checks results before relying on them. ALVIREQ carries out consequential steps (sending, writing, deleting) only after a person approves them; the customer is responsible for approved steps.
6. The customer's data
The data in the instance belongs to the customer. HALVIC processes it only to provide ALVIREQ, under the data processing agreement, which is part of these terms. Rights in the results belong to the customer, unless the model providers' terms say otherwise.
7. Third-party services
When a person connects an account of their own (for example email, calendar, accounting, media generation), that provider's terms apply. HALVIC is not responsible for these services.
8. Availability and support
HALVIC runs ALVIREQ with the care of a professional provider but guarantees no particular availability unless the order says otherwise. Maintenance is announced where possible. Support is by email to hello@halvic.ch during business hours.
9. Term and termination
The subscription runs for one month at a time and renews automatically. Either side may terminate it with 30 days' notice to the end of a month. After the contract ends, the customer can export its data for 30 days; then HALVIC deletes the instance.
10. Liability
HALVIC is liable only for damage it causes intentionally or through gross negligence. Any further liability, in particular for consequential damage, lost profit and data loss, is excluded as far as the law allows. Liability is capped at the fees of the last twelve months.
11. Rights in ALVIREQ
ALVIREQ, its software and documentation remain HALVIC's property. For the duration of the subscription the customer receives a non-transferable right to use ALVIREQ for its own purposes.
12. Changes
HALVIC may change these terms and announces changes at least 30 days in advance. A customer who doesn't agree may terminate as of the date they take effect.
13. Law and jurisdiction
Swiss law applies, excluding the UN Convention on Contracts for the International Sale of Goods. The place of jurisdiction is Bern. The German version of these terms is binding.
